Acceptance of Terms

By accessing and using the services provided by noventis B.V. ("Company", "we", "us", "our"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") govern your use of our website, IT infrastructure services, and any related services provided by noventis.

If you do not agree to these Terms, you must not access or use our services. Your continued use of our services constitutes acceptance of any modifications to these Terms.

noventis provides professional IT infrastructure services including but not limited to:

• Server management and maintenance
• Cloud infrastructure solutions
• Network design and implementation
• Security and compliance services
• Data management and backup solutions
• Technical support and consultation

Specific service details, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

User Obligations

When using our services, you agree to:

• Provide accurate and complete information
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any access credentials
• Notify us promptly of any unauthorised use of your account
• Cooperate with reasonable security and access procedures
• Pay all fees and charges in accordance with agreed terms

Prohibited Uses

You may not use our services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorised access to our systems
• Interfere with the operation of our services
• Use our services for competitive intelligence gathering
• Resell or redistribute our services without permission

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are owned by noventis B.V. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services or included software without our express written permission.

Any feedback, suggestions, or improvements you provide regarding our services may be used by noventis without obligation or compensation to you.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise specified:

• Invoices are payable within 30 days of invoice date
• Late payments may incur interest charges as permitted by law
• All prices are exclusive of applicable taxes unless stated otherwise
• We reserve the right to suspend services for non-payment
• Refunds are subject to our refund policy as outlined in service agreements

Service Level Agreements

Service level commitments, including uptime guarantees, response times, and performance metrics, will be detailed in separate Service Level Agreements (SLAs) where applicable. These SLAs form part of your service contract with noventis.

Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with GDPR and Dutch data protection laws. Our data processing practices are detailed in our Privacy Policy.

Where we process personal data on your behalf as part of our services, we will enter into appropriate data processing agreements to ensure compliance with applicable data protection regulations.

Limitation of Liability

To the maximum extent permitted by Dutch law, noventis B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or relating to your use of our services.

Our total liability for any claims arising under these Terms or related to our services shall not exceed the total amount paid by you to noventis in the twelve (12) months preceding the claim.

Nothing in these Terms shall limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

Force Majeure

noventis shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to maintain the confidentiality of your business information and data, and you agree to maintain the confidentiality of our proprietary methods, processes, and technical information.

Termination

Either party may terminate these Terms or any service agreement with appropriate notice as specified in the relevant service contract. We reserve the right to immediately terminate or suspend your access to our services if you breach these Terms.

Upon termination, you must cease all use of our services and return or destroy any confidential information. Provisions that by their nature should survive termination shall remain in effect, including intellectual property rights, liability limitations, and governing law.

We will assist with data migration or return upon termination in accordance with agreed procedures and subject to payment of any outstanding fees.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Dutch courts, with venue in the District Court of Zeeland-West-Brabant.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with any service agreements, privacy policy, and other referenced documents, constitute the entire agreement between you and noventis regarding the use of our services and supersede all prior agreements and understandings.
